EC-COUNCIL LEARNING TERMS
PLEASE READ THESE TERMS (“AGREEMENT”) CAREFULLY BEFORE ACCESSING/USING THE SERVICE OR EC-COUNCIL LEARNING WEBSITE (“WEBSITE”). THIS IS A LEGAL AGREEMENT BETWEEN EC-COUNCIL INTERNATIONAL LIMITED (“EC-COUNCIL”/ “WE”/ “US”) AND “YOU” (“USER” OR “YOU”). BY ACCESSING, OR USING THE SERVICE OR WEBSITE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT, ACCESS, OR USE EC-COUNCIL LEARNING SERVICE. THIS AGREEMENT ALONG WITH OUR PRIVACY POLICY AND ANY OTHER DOCUMENTATION, AS MAY BE DESIGNATED FROM TIME TO TIME, FORMS THE LEGALLY BINDING AGREEMENT PURSUANT TO WHICH YOU MAY ACCESS OR UTILIZE THE EC-COUNCIL LEARNING PLATFORM OR SERVICES.
1.Definitions.
The following terms shall have the meaning as described in this clause, throughout this Agreement.
(a) “Account” is the account created on the EC-Council Learning Platform by the User to access the EC-Council Learning Services or to avail other features a of the Website.
(b) “Confidential Information” is any proprietary or confidential information received, directly or indirectly, by you in connection with your use of EC-Council Learning Services or EC-Council Learning Platform, including all information relating to EC-Council’s systems, processes, products, trade secrets, know-how, contracts, any communication (including, without limitation, any oral communication) regarding or related to EC-Council Learning services or EC-Council Learning Platform which you know or have reason to know is confidential, proprietary or trade secret information of EC-Council, but excluding information which: (i) is available to the public other than because of any breach of this Agreement; (ii) is, when it is supplied, already known to you in circumstances in which you are not prevented from disclosing it to others; (iii) is independently obtained by you in circumstances in which you are not prevented from disclosing it to others; or (iv) is developed independently of and without reference to any Confidential Information provided to you.
(c) “Capture the Flag Challenges”/ “CTF Challenges” means the cybersecurity competition hosted by EC-Council or its affiliates on the Platform where the participants, based on their professional experience and expertise compete in security-themed challenges for the purpose of obtaining the highest score and are expected to “capture the flags”
(d) “Certification” refers to the credentials earned by a Certified Member upon successfully completing a certification course offered by EC-Council and which is delivered through iLearn;
(e) “Certified Members” are the Users who have successfully completed and earned a Certification ;
(f) “Certification Examination” is an assessment designed to evaluate a User’s comprehension of EC-Council Official Courseware, leading to certification for the Program;
(g) “Customer” means the enterprise that has purchased Services from EC-Council for the use of its employees/contractor as per EC-Council Learning Enterprise Terms.
(h) “iLearn” shall mean asynchronous, self-study environment which delivers Certification in a streaming video format and includes the following components: (i) e-content with one-year validity; (ii) one examination voucher with one year validity; (iii) self-paced learning videos with one year validity; (iv) iLabs with six months’ validity;
(j) “Microdegree” means a structured program which may comprise of online videos, eBooks, cloud-based cyber ranges, lab manuals, assessments, or quizzes
(k) “Personally Identifiable Data/Personal Data and/or Sensitive Data” means any personal information relating to User or End User.
(l) “Platform” is the EC-Council Learning platform used for accessing our EC-Council Learning Services.
(m) “ EC-Council Learning Services/Services” means the suite of services provided by EC-Council that enables the Users to access EC-Council’s services as provided on the Platform, which may include Microdegree courses, short courses, iLearn, Labs, CTF challenges ,and Certifications .
(n) “Submissions” are any User Content, feedback, suggestions or post, uploaded, or submitted to EC-Council Learning Platform or its associated services by the User while accessing the Platform.
(o) “User” means an individual who accesses the EC-Council Learning Platform to avail of the EC-Council Learning Services, either by: (i) creating an account through an individual purchase, (ii) accessing the Services as an employee or contractor of a Customer who has purchased the Services pursuant to an agreement with EC-Council, or (iii) browsing the Website without creating an account. .
(p) “User Content”refers to information, materials provided, uploaded, posted by User regardless of form, including (without limitation) their email address, feedback, reviews, messages photos, videos, or audio and any other work of authorship or other works, etc. in connection with the use of EC-Council Learning Service.
(q) “Website” is the EC-Council Learning website provided here.
2.Account and Password
(a) To access all features of the Website or EC-Council Learning Services, Users need to create an Account. The Account will allow Users to access EC-Council Learning Services, pay for their subscription and have access to features of the Website which you have subscribed to. You are responsible for all activities that occur through their Accounts, including payments, or any harm or damage to EC-Council or any third party, including harm caused by an unauthorized use by a third-party of the Account. To maintain control over the Account and to prevent unauthorized use of the Account, you should maintain control over the computing devices that are used to access EC-Council Learning Service or Website and not reveal the login credentials including password or any other details such as the payment method associated with the Account to anyone, including any other User. You are responsible for updating and maintaining the accuracy of the information you provide to us relating to your Account. We can terminate your Account or place your Account on hold to protect you, EC-Council Learning Services, Platform or our partners from i any fraudulent activity.
(b) You must keep your Account credentials (e.g., usernames and passwords) confidential and not disclose them to any third party. Each User’s credentials are unique and allow only one User to access EC-Council Learning Service, Platform and/or Website. You should not share your credentials with any other User and/or with any third party. In addition, you should notify us immediately upon accidental disclosure of any credentials.
3.Age and Parent/Guardian Consent Requirements:
(a) By using Website, you represent and warrant that (a) you are legal age of majority, in the jurisdiction in which you reside or have citizenship of and agree to be bound by this Agreement; (b) if you are under 13 years of age, you are not allowed to use this Website and access EC-Council Learning Services (c) if you are of at least of 13 years of age but below the age of majority, you agree to have obtained verifiable consent from a parent or legal guardian for the use of the Website and EC-Council Learning Services; and (c) your use of Website does not violate any applicable law or regulation. Your access to Website may be terminated without warning if we believe, in our sole discretion, that you are under the legal age of majority and have not obtained verifiable consent from a parent or legal guardian. If you are a parent or legal guardian and you provide your consent to your child’s use of Website, you agree to be bound by this Agreement in respect to your child’s use of Website.
(b) Additionally, the age requirement for attending EC-Council Certification shall be determined as per the particular certification requirements.
4.Subscription Plans:
EC-Council Learning offers you with the subscription plans, details of which are provided on the Website. Each of these subscription plans comes with their own benefits and includes a wide range of components. For details on the various subscription plans, please visit the Website. You can subscribe to these plans either monthly or annually based on your preference. The pricing shall vary based on the plan that you have purchased. All payments are due on the applicable due dates or at the time of purchase depending on your subscription plan. EC-Council reserves the right to modify pricing or plan features, with or without notice.
5.EC-Council Learning Services:
(a) General: The Platform allows Users to access various features and Services it offers. While browsing the Platform, EC-Council may recommend certain Services based on your activity, preferences, skills, or desired career path. However, it is solely your responsibility to decide whether to purchase the recommended services. If you choose to subscribe to a Service based on our recommendations, you acknowledge and agree that EC-Council is not liable for your decision or the outcomes resulting from the services you purchase. It is your responsibility to evaluate the suitability of a Service concerning your skills and career goals. Recommendations provided by EC-Council are suggestions only; the final decision rests entirely with you. Please note that no refunds will be provided for Services purchased based on these recommendations. Furthermore, EC-Council does not guarantee specific outcomes, such as job placement, skill mastery, or achieving a particular skill level or certification, from the recommended Services.
(b) Proctoring: Users may give Certification examinations: (a) via-remote proctoring services provided by EC-Council directly subject to additional fees as may be provided in the Order Form or any other Documentation; or (b) or via a third-party remote proctoring service provider which shall be designated by EC-Council.
(c) Certification Documentation: At the time of attempting the examination, you will be redirected to the EC-Council exam portal. Prior to commencing the examination, you will be required to review and accept the Certification Documentation, which includes the Non-Disclosure Agreement between you and EC-Council and the Certification Agreement. Your acceptance of these documents is in addition to your agreement to the Terms of Use and Privacy Policy published on the EC-Council exam portal.
6.Trial/Demonstration:
We may provide you with a trial of the monthly or the annual subscription, to assist you in evaluating the EC-Council Learning Services and to facilitate your decision to procure a Service from us. The trial duration will be determined solely by EC-Council and may be provided either free of charge or at a nominal fee, at EC-Council’s discretion. All demonstrations and trials are provided on an as-is and as-available basis. The EC-Council Learning Services provided during the trial period may not contain all the functionalities of the paid services and to avail yourself of all the functionalities of the service, you will have to subscribe to a subscription plan. If you provide us with any feedback during the trial period, you agree that any such feedback is owned by EC-Council, and we shall have the right to use the feedback in any manner and without limitation, attribution, or compensation in any form. All such feedback shall be Confidential Information. During the trial/demonstration period, none of the rights granted in these terms will be applicable to you. However, you need to adhere to all licensing terms, limitations, obligations, conditions and covenants.
7.Grant of license by EC-Council and limitations.
(a) Grant: Subject to the terms and conditions set forth in this Agreement, EC-Council grants you a limited, worldwide, non-exclusive, revocable, non-transferable license to use EC-Council Learning Services solely for your personal, non-commercial, educational purposes only, as per the terms contained in this Agreement. All rights not expressly granted by the EC-Council under this agreement are reserved. You are prohibited from modifying, altering, reproducing, assigning, selling, editing, broadcasting, creating derivative works or using the license in any way that is not expressly granted to you under this Agreement. This restriction applies to all EC-Council Learning Services. However, lab manuals made available through EC-Council Learning Services may be downloaded for personal, non-commercial, educational use only. Users are strictly prohibited from publishing, distributing, selling, sharing or otherwise using these lab manuals on any other platform or through any unauthorized or unofficial channels. Except as provided herein, this Agreement does not permit the downloading of content contained in software beyond the standard buffer that video players use in the streaming of content and does not permit use of the content on more than one computer or device at any given time, nor may the materials be accessed by more than one user per login If you violate any of the terms, your rights under this Agreement will immediately terminate, and we will terminate your access to EC-Council Learning Service or your Account without any refund. This remedy will be in addition to any other remedies we may have under law. This license governs the EC-Council Learning Platform software and all upgrades, patches, additional materials provided therein from time to time.
(b) Limitations: You will use EC-Council Learning Services in compliance with applicable laws, and you acknowledge that you shall not:
(i) reverse engineer, modify, decompile, or disassemble, modify, adapt, translate, copy EC-Council Learning Service either whole or in part and/or any associated documentation (ii) reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, license, capture, download, save, upload, print, or otherwise retain information and content available on the Platform and provided to you through EC-Council Learning Services; (iii) permit unauthorized access to your account; (iv) remove, delete, obfuscate or modify any trademark or copyright notices and/or legends; (v) use EC-Council Learning Services to violate the security or integrity of any network, computer or communications system, or breach the security mechanisms of EC-Council Learning Platform. Such behavior may result in criminal or civil liability; (vi) attempt to gain unauthorized access to EC-Council Learning Platform or assist others to do so; (vii) post to the discussion forums or any other portion of EC-Council Learning Platform any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, infringing, defamatory, or libelous content (viii) archive, reproduce, distribute, modify, display, perform, publish, license, create derivative works from, offer for sale, or use (except as explicitly authorized in these Terms of Service) content and information contained on or obtained from or through the EC-Council Learning Services (ix) circumvent, remove, alter, deactivate, degrade or thwart any of the content protections in the EC-Council Learning Services; use any robot, spider, scraper or other automated means to access the EC-Council Learning Services; (x) decompile, reverse engineer or disassemble any software or other products or processes accessible through the EC-Council Learning Services; (xi) insert any code or product or manipulate the content of the EC-Council Learning Services in any way; or use any data mining, data gathering or extraction method; (xii) upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the EC-Council Learning Services, including any software viruses or any other computer code, files or programs.
(c) You acknowledge and agree that, except for the purpose of obtaining a certification, if you are accessing the Services as an employee or contractor of a Customer, your license to use the Services may be reallocated to another user within the Customer’s organization at the Customer’s sole discretion. In such cases, any discontinuation of your access to the Services arising from such reallocation shall be a matter solely between you and the Customer. EC-Council shall bear no responsibility or liability whatsoever for any resulting interruption, limitation, or termination of your access to the Services.
8.Grant of license by the User
(a) You shall be solely responsible for the accuracy of all User Content provided in connection with your use of EC-Council Learning Services. You grant EC-Council the, worldwide, non-exclusive, irrevocable, royalty free and transferable right to use the User Content and Submissions solely for the purpose of accessing and using EC-Council Learning Services. When accessing and using EC-Council Learning Services, you shall not include User Content that is illegal, harmful, obscene, offensive, inappropriate, libelous, tortious, defamatory, threatening, abusive, objectionable, infringing, hateful or that violates any applicable law or regulation, contract, or privacy or other third party right, or that otherwise exposes EC-Council to civil or criminal liability. The EC-Council Learning Services may not be used in a manner which purposely alters or forges your identity for the purposes of creating a deception or impersonating identity information.
(b) By posting, uploading, inputting, providing or submitting your Submissions you are granting EC-Council, its affiliates and sublicensees permission to use your Submissions in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submissions. Notwithstanding the foregoing, your Submission and User Content is your exclusive responsibility. You represent and warrant that (a) you own or control all relevant rights to User Content and Submission that you submit to EC-Council; (b) User Content (including, but not limited to, any Personal Information, as defined below) or Submission is accurate, truthful, and up-to-date; (c) any use of User Content or Submission will not violate this Terms of Use, infringe a third party’s proprietary rights, or cause injury to EC-Council or to any third person or entity; and (d) you will indemnify, defend, and hold harmless EC-Council for all claims relating to User Content or Submission supplied to EC-Council.
(c) You acknowledge that EC-Council exclusively owns all rights any Submissions provided by you EC-Council pertaining to EC-Council Learning Services and EC-Council retains all rights to use the Submissions in a manner that EC-Council deems appropriate and fit for its business activities.
(d) We are under no obligation to edit or control Submissions that you or other users post and will not be in any way responsible or liable for Submissions . EC-Council may, however, at any time and without prior notice, screen, remove, edit, or block any User Content that in our sole judgment violates this Agreement, is alleged to violate the rights of third parties, or is otherwise objectionable. You understand that, when using EC-Council Learning Services, you will be exposed to Submissions from a variety of sources and you acknowledge that Submissions may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do waive, any legal or equitable right or remedy you have or may have against EC-Council with respect to Submissions. If notified by a User that Submissions allegedly does not conform to this Agreement, we may investigate the allegation and determine in our sole discretion whether to remove the Submissions , which we reserve the right to do at any time and without notice. For clarity, EC-Council does not permit infringing activities on EC-Council Learning Service.
(e) No compensation will be paid with respect to the use of your Submissions, as provided herein. EC-Council is under no obligation to post or use any Submissions you may provide, and EC-Council may remove any Submissions at any time at EC-Council’s sole discretion.
(f) By posting, uploading, inputting, providing, or submitting your Submissions you warrant and represent that you own or otherwise control all the rights to your Submissions as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.
(b) You agree to use and access EC-Council Learning Services, including all features and functionalities associated therewith, in accordance with all applicable laws, rules, and regulations, or other restrictions on the use of the service or content therein. We may terminate or restrict your use of our EC-Council Learning Services if you violate these terms of service or are engaged in the illegal or fraudulent use of EC-Council Learning Services.
(c) You agree and acknowledge that the quality of the display of the content on the Platform may vary from device to device and may be affected by a variety of factors, such as your location, the bandwidth available through and/or speed of your Internet connection. HD, Ultra HD, and HDR availability are subject to your Internet service and device capabilities. You are responsible for all Internet access charges. Please check with your ISP for information on possible Internet data usage charges. The time it takes to begin watching EC-Council Learning content will vary based on several factors, including your location, available bandwidth at the time, the content you have selected and the configuration of your EC-Council Learning ready device. The utilization of labs may also vary on your internet bandwidth. You shall be solely responsible to ensure that you have adequate bandwidth to utilize the labs.
(d) You agree and acknowledge that EC-Council Learning software is developed by, or for, EC-Council Learning and is designed to enable viewing of EC-Council Learning content through EC-Council Learning ready devices. This software may vary by device and medium, and functionalities and features may also differ between devices. You acknowledge that the use of the service may require third party software that is subject to third-party licenses. You agree that you may automatically receive updated versions of the EC-Council Learning and related third-party software.
(e) You acknowledge that the information displayed on EC-Council Learning Platform is regularly updated but may not always be synced in real time.
(f) You shall comply with EC-Council Learning Certificate Usage Policy published here.
(g) You acknowledge that a stable internet connection and compatible hardware/software are necessary to access and use Practice labs effectively and practice labs are designed to enhance understanding through hands-on experience but do not guarantee specific learning outcomes or certification.
10.Payments and Billing.
(a) Payments for EC-Council Learning Services may be one-time or recurring depending upon your subscription plan. The payment options will be available on EC-Council Learning Platform.
(b) For subscription plans with recurring payments, you must provide us with one or more payment methods. "Payment Method" means a current, valid, accepted method of payment, as may be updated from time to time, and which may include payment through your account with a third party. Unless you cancel your account before your annual billing date and/or any other billing date, you authorize us to charge your next term’s membership fee to your Payment Method (see "Cancellation" below).
(c) The charges you may incur in connection with your use of EC-Council Learning Service, such as withholding taxes or other taxes and possible transactional and administrative handling fees, will be charged annually to your Payment Method on the calendar day corresponding to the commencement of the paying portion of your subscription fee. For the purpose of clarity, the subscription fee is exclusive of all taxes and charges.
(d) We periodically offer promotional discounts on our courses, during which specific content is sold at reduced rates for a limited duration. The price charged for a course will be the price at the time of finalizing your purchase (during checkout).
(e) Pricing is set in the currency of the country where you reside. We restrict the display of prices to the local currency, disallowing the option to view prices in alternative currencies.
(f) As applicable: The following terms shall apply if you opt for the 3-month installment plan for EC-Council’s certification programs, you hereby agree to the following terms:
(I) Phased Module Release: The certification program’s content will be made available in three distinct phases, each corresponding to an installment payment. You will be granted access to each phase's content upon successful processing of the respective installment.
(II) Exam Voucher Release: The exam voucher (as included in your plan) will be made available to you only after the successful completion of the final installment payment.
(III) Additional Cost: Users who opt for the installment payment plan will incur an additional cost of 15% of the total one-time payment plan or $100, whichever is greater. This extra charge compensates for the extended payment period and administrative costs associated with managing the installment plan.
(IV) Payment Plan – Irrevocability: Please note that after post selection of the installment payment plan, you will no longer be able to transition to a one-time payment option. Once you opt for installment payment option, it becomes final and irrevocable.
(V) Payment Failure and Grace Period: If, due to unforeseen circumstances, there is an installment which has not been paid as per the payment plan, EC-Council may grant, at its sole discretion, a grace period of 15 days from the original payment due date. This grace period allows for the settlement of the outstanding payment to maintain access to subsequent program modules.
(VI) Consequences of Non-Payment: If you fail to fulfill the payment on the due date or within the designated 15-days grace period, your enrollment in the installment plan will be terminated and your access to forthcoming modules will be revoked. No refunds will be provided for previously accessed content.
(VII) Grace Period Conditions: You acknowledge that the grace period of 15 days, for failure to pay the instalment on the due date, is extended to you at EC-Council’s sole discretion. EC-Council reserves the right not to extend a grace period. In such situation, you will be liable to make payments of the installment on the due date to avoid revocation of the forthcoming modules.
(VIII) Agreement to Terms: Enrollment in the installment plan implies unequivocal acceptance of these terms , which are subject to be changed, at EC-Council’s sole discretion.
(IX) Charges: You shall be solely responsible for any charges associated with payment option opted for by you.
11.Auto debit (as applicable)
The terms provided in this section apply to the automatic recurring payments for fees for the purchase of EC-Council Learning Services by you, in addition to the terms provided above.EC-Council reserves the right to modify these terms and conditions at any time. Any changes will be communicated to you via your registered email ID. Your continued use of the auto debit subscription after any changes signifies your acceptance of the updated terms. By opting into the auto debit subscription, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
(a) By enrolling in the auto debit subscription, you authorize EC-Council to automatically deduct the subscription fee from your designated credit card or debit card on a recurring basis, according to the selected plan. The amount deducted will be inclusive of applicable taxes. For details of your fees, please see your account. If you are residing in India, or have your billing location in India, the auto-debit feature is only available for payments below INR 15,000. For transactions above this amount, you may be asked for additional authentication by your banking partner.
(b) You agree to provide accurate and up-to-date payment information of your preferred payment method. Any changes to your payment information must be promptly updated in your profile settings to ensure continued service without interruption. You can update your payment methods by going to into your account. We may also update your payment methods using information provided by the payment service providers. Following any update, you authorize us to continue to charge the applicable payment method.
(c) You authorize EC-Council to charge any payment method associated to your account in case your primary payment method is declined or no longer available to us for payment of the fee. You remain responsible for any uncollected amounts. For some payment methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your payment method. Local tax charges may vary depending on the payment method used. Check with your payment method service provider for details.
(d) Payments will be deducted on a regular basis as per the chosen subscription plan. You will receive a reminder notification via your registered email ID seven (7) days before each payment is deducted. The amount deducted will be inclusive of applicable taxes.
(e) In the event of a payment failure, you will receive an email notification on your registered email ID. You are responsible for ensuring that sufficient funds are available for the auto debit transaction. If a payment fails, you must manually make the payment through the Platform to avoid suspension of your subscription. EC-Council may charge an additional fee to resolve this failure. Any amount charged will be inclusive of applicable taxes. The details of these charges will be communicated to you priorly.
(f) Subject to applicable laws, no refunds will be issued for auto debit subscription payments. If you downgrade your certification type, the balance amount will be auto adjusted with the lower certification category fee. The amount adjusted will be inclusive of applicable taxes.
(g) Payment receipts can be downloaded from the Dashboard under the "Payment Receipts" section.
(h) You can change your payment method or cancel your auto debit subscription at any time through your profile settings. You will receive email notifications on your registered email ID confirming any changes or cancellations. If you are using a third party for your Payment Method and wish to cancel to cancel the auto debit subscription, you may need to do so through such third party, for example by visiting your account with the applicable third party and turning off auto-renew or unsubscribing through that third party.
(i) You are responsible for ensuring that your contact information, including your registered email address, is accurate and up to date to receive notifications from EC-Council.
(j) EC-Council reserves the right to terminate your automatic recurring payments at any time if you fail to comply with these terms and conditions or if your payment method is repeatedly declined. You may be charged an additional amount to settle any outstanding dues. The amount required to settle any outstanding payments will be inclusive of applicable taxes.
(k) Any changes in the fees will be communicated to you ten (10) days in advance. Depending on where you are located, you may need to provide an authentication to approve the change. You will be notified of such change by your registered email ID. If you do not authorize EC-Council to charge the changed fee prior to your due date, and if you fail to pay your fees by the due date, it will be an event of non-payment, which will be dealt with as under these terms.
12.Duration
The duration of the EC-Council Learning Service shall be as per the term of the subscription package purchased by you. Terms which by their very nature survive the termination of the agreement shall continue to be applicable.
13.Promotional Codes
EC-Council may provide promotional codes to Users, which can be used directly to access certain content. These codes, along with any associated promotional value, might expire if not utilized within the timeframe outlined at the time of course purchase from EC-Council. Unless stated otherwise in the terms accompanying your codes or mandated by law, promotional codes distributed by EC-Council are non-refundable in cash. Promotional codes are offered exclusively at EC-Council’s discretion and are subject to the terms and conditions applicable to each code. EC-Council reserves the right to modify its promotional code policy at any time, including but not limited to changes in eligibility criteria, usage terms, or availability. Promotional codes are non-transferable, non-assignable, and cannot be combined with other promotional codes or ongoing offers. All promotional codes must be redeemed within the specified timelines outlined in their respective terms and conditions.
14.Cancellation and Refunds.
You can cancel your EC-Council Learning Services subscription at any time, and you will continue to have access to the subscription package through the end of your annual or monthly period. To the extent permitted by the applicable law, payments are non-refundable. Further, we do not provide credits for any unused EC-Council Learning content. You can cancel the subscription through your EC-Council Learning dashboard as per our refund and cancellation policy.
15.Changes to the Price and Subscription Plans.
We may change our subscription plans and the price of our EC-Council Learning Services from time to time; however, any price changes or changes to our subscription plans will apply to you in your next payment cycle for EC-Council Learning Services availed by you.

16.Confidentiality
You are expressly prohibited from disclosing, publishing, reproducing, or transmitting any Confidential Information, in whole or in part, in any form or by any means, oral or written, electronic or mechanical, for any purpose to any person(s). You may commit a material breach of this Agreement, if you violate the terms of confidentiality and we reserve the right to exercise any of the remedies described in this Agreement in response thereto, including to revoke your access to any EC-Council Learning Service or any certification(s) that you otherwise hold.
17.Intellectual Property.
(a) You agree that all the materials, documents, products, services and intellectual property, whether registered or un-registered, or in the application process developed by EC-Council and provided through EC-Council Learning Services, Platform or Website are the property of EC-Council, its affiliates, directors, officers, employees, agents, suppliers, or licensors.
(b) You acknowledge that the software, the technology underlying our EC-Council Learning Platform, Services or Website, and all other software, designs, materials, information, communications, text, graphics, links, electronic art, animations, illustrations, artwork, audio clips, video clips, photos, images, and other data or copyrightable materials, including the selection and arrangements thereof, provided or made available to you in connection with EC-Council Learning Platform, Service or Website are the proprietary property of EC-Council and/or its affiliated and/or third party providers and suppliers. Unless otherwise specified, when any content is downloaded to your computer and/or any other device, you do not obtain any ownership interest in such content or any use of the content for any other purpose. EC-Council reserves all rights not expressly granted to you.
(c) By agreeing to this Agreement, you agree that you will not reproduce or redistribute EC-Council’s intellectual property in any way.
18.Disclaimer of Warranty and Remedy for Infringement of third -party intellectual property rights.
(a) EC-COUNCIL DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, AND CONDITIONS OF ANY KIND REGARDING THE EC-COUNCIL LEARNING SERVICE, THE WEBSITE, PLATFORM INCLUDING ITS USE, ACCURACY, AND FUNCTIONALITY. EC-COUNCIL WILL NOT BE LIABLE FOR ANY TYPE OF REPRESENTATION, WARRANTY, OR CONDITION, WHETHER EXPRESS, IMPLIED, COLLATERAL, OR ARISING BY LAW, INCLUDING BUT NOT LIMITED TO, ANY WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR THAT THE SERVICE WILL BE ERROR-FREE OR NON-INFRINGING OR THE PERCEIVED INADEQUACIES IN THE CAPTURE THE FLAG CHALLENGES, TECHNICAL ISSUES OR DATA LOSS. THE EC-COUNCIL LEARNING SERVICES, THE WEBSITE, THE PLATFORM AND ANYTHING CONTAINED THEREIN ARE PROVIDED "AS IS," WITHOUT ANY GUARANTEES REGARDING TECHNICAL QUALITY, SOUNDNESS, TIMELINESS, COMMERCIAL POTENTIAL, OR APPROPRIATENESS FOR ANY USE, APPLICATION, OR PURPOSE. EC-COUNCIL DOES NOT GUARANTEE UNINTERRUPTED SERVICE, FREEDOM FROM ERRORS, VIRUSES, OR HARMFUL COMPONENTS, NOR DOES IT ENSURE THAT ALL ERRORS WILL BE CORRECTED OR ALL QUESTIONS ANSWERED.
(b) ADDITIONALLY, FEW EC-COUNCIL LEARNING SERVICES AND THE ACCOMPANYING PRODUCTS MAY BE IN BETA FORM AND MAY THEREFORE CONTAIN DEFECTS. A PRIMARY PURPOSE OF PROVIDING THE BETA VERSION OF THE SERVICES OR ACCOMPANYING PRODUCTS IS TO OBTAIN FEEDBACK ON THE PERFORMANCE AND THE IDENTIFICATION OF DEFECTS. YOU ARE ADVISED TO SAFEGUARD IMPORTANT DATA, TO USE CAUTION AND NOT TO RELY IN ANY WAY ON THE CORRECT FUNCTIONING OR PERFORMANCE OF THE BETA VERSION OF THE SERVICES AND/OR ACCOMPANYING PRODUCTS OR MATERIALS.
(c) You agree and acknowledge that your remedy for our breach of third-party intellectual property rights is the correction or replacement of the respective EC-Council Learning Services. EC-Council shall in its sole discretion determine to whether correct or replace the respective EC-Council Learning Service. If EC-Council is unable to provide a replacement or substitute or correct the infringing service, your sole alternate remedy shall be the termination of a concurrent subscription in accordance with this Agreement. This remedy shall not be available during the trial period, and you solely assume the risk of using and accessing the services.
19.Intellectual Property Violation.
If you have a good faith belief that any content accessed by you through the Website or EC-Council Learning Services is violating a third-party Intellectual Property Right, you should immediately inform us by filling out the details provided in our Intellectual Property Rights Policy . We shall endeavor to take prompt actions to address your concerns as per our IPR Policy.
20.Enforcement.
If you violate this Agreement, we may, in our sole discretion, stop providing EC-Council Learning Services to you, restrict or suspend you access to the Website or we may close your Account . We may also block delivery of communication to or from EC-Council Learning Services or Website in an effort to enforce the terms of this Agreement, or we may remove or refuse to publish your content for any reason. When investigating alleged violations of the terms of this Agreement, EC-Council reserves the right to review your content until the issue comes to a determination, and you hereby authorize such review. However, you acknowledge that we may not be able to monitor the entire EC-Council Learning Services or Website and make no attempt to do so.
21.Indemnity.
22.Limitation of Liability.
(a) If you have any basis for recovering damages (including breach of the terms of this Agreement), to the extent permitted by the applicable law, you agree that your exclusive remedy is to recover from EC-Council and/or its suppliers, direct damages up to an amount equal to EC-Council Learning Services fee for the month during which the loss or breach occurred (or up to USD$10.00 if the services are free). EC-Council shall not be liable for any claims or damages arising to you during the trial period or beta testing.
(b) To the maximum extent permitted by applicable law, in no event shall EC-Council and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the (i) use or performance of EC-Council Learning Services, (ii) delay or inability to use EC-Council Learning Services or related services, (iii) provision of or failure to provide EC-Council Learning Services, or (iv) information, software, products, services and related graphics obtained through EC-Council Learning Services, or otherwise arising out of the use of EC-Council Learning Services, whether based on contract, tort, negligence, strict liability or otherwise, even if EC-Council or any of its suppliers has been advised of the possibility of damages.
(c) EC-Council is not responsible or liable for any failure to perform or delay in performing its obligations under this Agreement or otherwise to the extent that the failure or delay is caused by circumstances beyond EC-Council’s reasonable control (such as labor disputes, acts of God, war or terrorist activity, malicious damage, pandemics, accidents or compliance with any applicable law or government order). EC-Council will endeavor to minimize the effects of any of these events and to perform the obligations that aren’t affected. Further EC-Council shall not be liable or responsible for any damages incurred to User due to User’s use of any third-party website in connection with EC-Council Learning Services.
(d) EC-Council assumes no responsibility or liability pertaining to the acts or omissions of the users who enter into competitions.
(a) When you access certain EC-Council Learning Services through the Platform, you may be redirected to a third-party website which may or may not have an agreement with EC-Council. These third-party websites or platforms may host variety of EC-Council resources such as e-courseware, labs, and capture the flag competitions. When you are redirected to these third-party websites to access the subscribed resources by you, you may or may not be asked to click accept the terms of use/service or privacy policy of these third-party website. However, you shall be solely responsible for reading, acknowledging the terms of use/service or privacy policy of these third-party websites. You shall ensure compliance with the terms of use/service and/or privacy policy published on these third-party websites. You hereby agree and acknowledge that EC-Council or liability towards you for ability or inability to access these third-party websites. While EC-Council may use commercially reasonable efforts to provide you necessary support in accessing EC-Council content hosted on these websites, however EC-Council has no control whatsoever over these websites or their functioning.
(b) EC-Council assumes no responsibility, and has no control over, and for, the content, privacy policies, or practices of any third-party websites. EC-Council is not responsible for webcasting, or any other form of transmission received from any third-party Websites. EC-Council is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by EC-Council of the site or any association with its operators. Further, EC-Council will not and cannot censor or edit the content of any third-party websites. By using the third-party websites, you expressly agree to relieve EC-Council from any and all liability arising from your use of such third-party websites.
24.Governing Law.
This Agreement shall be deemed to have been made in Singapore, and shall be construed and enforced in accordance with, and the validity and performance hereof shall be governed by the laws of Singapore, without reference to principles of conflict of laws thereof. Judicial proceedings regarding any matter arising under the terms of this Agreement that cannot be resolved in the manner provided in clause 25 shall be brought solely in the Courts of Singapore. Notwithstanding any ting contained herein, in the event of a breach or threatened breach of this Agreement, EC-Council shall be entitled to seek an injunction or any other order of a court of competent jurisdiction in addition to, and not in lieu of, any other available legal or equitable remedies.
25.Disputes.
(a) We would prefer resolving disputes in an informal manner and you agree to allow us an opportunity to resolve your issues and any dispute before initiating a formal action whether in court or arbitration. We strongly encourage you to follow the following pre-arbitration and/or litigation resolution procedure:
(b) Please email us with the full details of the dispute and issue by providing the following details at [email protected] (i) your full name and address (ii) a written description of your claim and the issue (iii) the remedy that you wish to seek. In case we are unable to resolve your claims and the dispute within 120 days of receiving your email, you may pursue your dispute under arbitration as provided in clause 25 (c). You may pursue only those matters in court that cannot be resolved in the manner provided in this section.
(c) Any dispute or claim relating in any way to your use of any EC-Council Learning Services/Platform, or to any products or services sold or distributed by EC-Council will be resolved by binding arbitration, to be submitted to the Singapore International Arbitration Centre ("SIAC") for arbitration in accordance with its rules in force at the time of application for arbitration ("Arbitration Rules"). The venue for such arbitration shall be Singapore and language shall be English.
26.Class-action and Trial by Jury waiver.
To the extent permitted by applicable law, you agree that any proceedings or disputes shall be resolved on an individual basis whether in arbitration, in court or otherwise. You shall not seek to have any dispute heard as a class action, a representative action, a collective action, a private-attorney general action or in any proceeding in which you act or tend to act in a representative capacity. No arbitration or proceeding will be joined, combined, or consolidated with any other arbitration proceedings to which EC-Council is a party without EC-Council’s prior written consent. Each Party irrevocably waives its rights to trial by jury in any action or proceeding arising out of or relating to this Agreement or the transactions relating to its subject matter.
27.Use of Third- Party Platform
(a) Subject to age and parent/guardian consent requirements, you may connect with us via social media or other online accounts which may be connected with EC-Council. If you log into Website or access the Service via Facebook or join WhatsApp Group, or another third-party platform or service, you are bound by the terms and conditions of such third-party platform, in addition to this Agreement.
(b) Notwithstanding anything contrary in this Terms, EC-Council’s WhatsApp group is a closed group and participation in this group is by invitation only. If you are a member of the WhatsApp Group, you agree that you will not (or assist others in using) use the third party platform in ways that: (a) violate, misappropriate, or infringe the privacy, publicity, intellectual property, or other proprietary rights of any other member and/or users; (b) are illegal, obscene, defamatory, threatening, intimidating, harassing, hateful, racially, or ethnically offensive, or instigate or encourage conduct that would be illegal, or otherwise inappropriate, including promoting crimes; (c) involve publishing falsehoods, misrepresentations, or misleading statements; (d) impersonate someone; (e) involve sending illegal or impermissible communications such as bulk messaging, auto-messaging, auto-dialling, and the like; or (f) involve any non-personal use of EC-Council Learning Services unless otherwise authorized by us. The group admin shall have the sole discretion to add and/or remove any member of this group. However, you may exit the WhatsApp Group at any time
28. Third-Party Connected Apps and Paid Services
(a) Introduction
The guiding principle of EC-Council Learning Services and Labs is simple, we want to provide a safe environment to learn, practice, and assess Cyber Security Skills that directly translate to job ready skills. We believe in providing our students, educator partners, and professionals with real software and live experiences that behave like those in the “real-world” because they are the actual tools and services used in the field, not simulations.
(b) Third-Party and Internet Connected resources
To provide the most realistic learning experience, EC-Council may employ connections to live networks and services through its labs, and lab platforms. While many software and service providers provide education use licenses, trials, or are Open Source, some require a live account with setup requirements, and agreements you must review and consent to in order to participate in and/or complete the exercises in our Labs.
(c) Subscription Fees and/or License Fees
EC-Council will never ask you for payment details, or sensitive information during our course of learning, however some of our Live Labs connect to third-party services such as Amazon AWS, Google Cloud Platform, Microsoft Azure, etc. While many of these service providers allow you to sign up for free tier usage, education accounts, or provide promotional credits for trials, many do ask for your credit card during sign-up and may bill for the use of their services, during and even after you have completed your course of study with EC-Council. Be aware, signing up for third party services may incur expenses related to the use of their services. Our labs can be completed without any additional charges unless explicitly marked, but you are ultimately responsible for any services you may intentionally or unintentionally sign up for when connected to those platforms.
(d) CCSE, AWS, Azure, and GCP
CCSE provides labs that utilize three major cloud platforms, AWS, Azure, and GCP. In order to provide a thorough hands-on experience, you must create accounts with each cloud platform. While account creation typically requires a credit card, you do have options to bypass this; ask your school or training center if they are an education partner with these cloud players and complete your signup with an education account, or you can apply directly for a student account with each platform. If you choose to setup a live account with a credit card, be sure to check with each platform how to identify what services are being created that may incur charges. We do provide guides in our programs to check that all services created have been removed, and we do notify you if a lab activity may incur charges if done incorrectly or not terminated, but be aware, you are connecting to live third party services that charge for the use of their platforms if you exceed free tier usage guidelines.
(e) Alternatives
If you are unable to secure an Education/Student account and are not comfortable creating a live account in these platforms, EC-Council provides comprehensive Lab Guides that include full instruction sets with screenshots(images) of each step. EC-Council also provides video-based walk-throughs of each lab for you to follow along without actually creating an account. Though with this method you won’t be creating an account or performing the live configurations, you will still receive adequate exposure to the platforms, configuration steps, techniques, and knowledge elements required for you to prepare for certification, or grasp the knowledge conveyed in the program.
29.Miscellaneous.
(a) Assignment. The User shall not transfer their right to access and use EC-Council Learning Service, including their Account credentials to any third party.
(b) Export Laws: You may not use or otherwise export or re-export EC-Council Learning Services except as authorized by United States law and the laws of the jurisdiction in which EC-Council Learning Services was obtained. Without limitation, EC-Council Learning Services may not be exported or re-exported (a) into (or to a national or resident of) any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using EC-Council Learning Services or Website, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list.
(c) Force Majeure. Except for payment obligations, neither party will be responsible for failure of performance due to an event beyond the affected party’s reasonable control, including accidents, severe weather events, acts of God, actions of any government agency, endemic and/or pandemic, acts of terrorism, or the stability or availability of the Internet or portions thereof.
(d) Waiver. Failure to enforce any right under this Agreement will not waive that right.
(e) Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the use of the EC-Council Learning Services or Website hereunder and supersedes all prior or contemporaneous understandings regarding such subject matter.
30.Right to make changes to the Terms
EC-Council reserves all rights with respect to this Agreement. This includes any modifications to the Agreement by EC-Council, which may or may not be notified to you. You are encouraged to periodically check this Agreement for any updates. Your continued usage of the EC-Council Learning Services or of the Website will constitute your acceptance of the same. Please read this Agreement carefully and if you wish not to continue using EC-Council Learning Services or Website with the revised terms, you may discontinue using EC-Council Learning Services accordingly and not access the Website.
31.Your Privacy.
(a) Your privacy is important to us. Please read our privacy policy here it describes the types of data, we collect from you, how we use your data and the legal bases we have to process your data. The Privacy Policy also describes how EC-Council uses your content, and you consent to EC-Council’s collection, use and disclosure of your content and data as described in the Privacy Policy.
(b) You may also opt out of providing your data to EC-Council or third parties, as provided in the Privacy Policy. However, the provision of EC-Council Learning Services may be impacted accordingly.
